These Terms of Use govern your access to the Pario website (planwithpario.com) and the Pario application. If you are creating an account and using the app, the End User License Agreement (EULA) also applies and is incorporated by reference.
By accessing planwithpario.com or using the Pario application, you agree to be bound by these Terms of Use. If you do not agree, do not access or use Pario. These terms apply to all visitors, registered users, and anyone who submits information through the site.
Pario is operated by Acuity Sourcing LLC, a Pennsylvania limited liability company ("we," "us," or "our").

You retain ownership of the content you input into Pario, including project descriptions, scope inputs, and organizational details ("Your Content"). By using Pario, you grant us a limited, non-exclusive license to process Your Content solely to provide the service to you.
You are responsible for ensuring that Your Content does not violate any applicable law, third-party rights, or your organization's data classification and information security policies. Do not input information that is classified as highly confidential, trade secret, or regulated personal data unless you have confirmed with us in writing that Pario is approved to handle such data.
Pario, including all software, AI models, prompt logic, methodologies, user interfaces, visual design, and underlying technology, is the exclusive intellectual property of Acuity Sourcing LLC. All rights not expressly granted to you are reserved.
Nothing in these Terms grants you any right to use Pario's name, logo, or branding without our prior written consent.
Pario uses artificial intelligence to generate outputs including project scopes, requirements, vendor analyses, and business case narratives. You acknowledge that:
Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Pario, you consent to the data practices described in the Privacy Policy.
Pario integrates with third-party services including Anthropic (AI), Supabase (database), and Vercel (hosting). Your use of those services is subject to their respective terms and policies. We are not responsible for the practices of third-party services.
planwithpario.com may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of those sites.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE PARIO, INCLUDING BUT NOT LIMITED TO RELIANCE ON AI-GENERATED OUTPUTS. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
You agree to indemnify, defend, and hold harmless Acuity Sourcing LLC and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of Pario; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
We may suspend or terminate your access to Pario at any time, with or without cause, with or without notice. You may stop using Pario at any time. Upon termination, your license to use the service immediately ceases. Sections 6, 7, 8, 11, 12, 13, and 15 survive termination.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.
We may update these Terms from time to time. The effective date at the top reflects when the Terms were last revised. Continued use of Pario following notice of any change constitutes your acceptance of the updated Terms. We will provide reasonable notice of material changes to registered users.
These Terms of Use, together with the Privacy Policy and, for registered app users, the End User License Agreement, constitute the entire agreement between you and Acuity Sourcing LLC with respect to your use of Pario.
